1. Acceptance of Terms

By accessing or using SALEscalate.ai software and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

 

2. Description of Service

SALEscalate.ai provides AI Stella is the 1st selling mentorship AI for Sales Reps in the world. Just speak your thoughts, and AI Stella transforms them into a professional, academically-backed sales pitch. She also analyzes your customer's profile and progress, providing insights and the best next action to help you break through your limits.

 

3. User Accounts and Registration

To use our Service, you must register an account and provide accurate, complete information. You are responsible for:

                    Maintaining the confidentiality of your account credentials

                    All activities that occur under your account

                    Notifying us immediately of any unauthorized use

                    Ensuring your account information remains current and accurate

 

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer various subscription plans with different usage limits and features. Current plans include:

                    Earth (Free): 100 yellow fuels daily quota, 1 Product limit, 3 client limit

                    Moon (Paid plan): 1,000 yellow fuels daily quota, 3 Product limit, 30 client limit

                    Mars (Paid plan): 3,000 yellow fuels daily quota, 5 Product limit, 50 client limit

4.2 Billing and Payments

                    Subscription fees are billed in advance on a monthly or annual basis

                    All payments are processed securely through Stripe

                    Fees are non-refundable except as required by law

                    We may change subscription prices with 30 days' notice

                    Failed payments may result in service suspension

 

5. Device Management and Limits

Your subscription plan determines the maximum number of devices you can use simultaneously. Exceeding device limits may require upgrading your plan or removing existing devices.

 

6. Usage Limits and Fair Use

Your subscription includes daily usage limits as specified in your plan. Usage resets daily based on Hong Kong timezone. We reserve the right to enforce fair use policies to ensure service availability for all users.

Prohibited uses include but are not limited to:

                    Attempting to circumvent usage limits or security measures

                    Using the Service for illegal or harmful activities

                    Sharing account credentials with unauthorized users

                    Reverse engineering or attempting to extract our algorithms

 

7. Intellectual Property Rights

The Service and all related technology, software, and content are owned by SALEscalate.ai and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

You retain ownership of any content you input into the Service. However, you grant us a limited license to process your audio data solely for the purpose of providing transcription services.

 

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We do not store or retain your audio data after transcription.

 

9. Service Availability and Modifications

We strive to provide reliable service but cannot guarantee 100% uptime. We may:

                    Perform scheduled maintenance with advance notice

                    Modify or discontinue features with reasonable notice

                    Suspend service for security or legal reasons

                    Update our software and terms as needed

 

10. Cancellation and Termination

10.1 Cancellation by You

You may cancel your subscription at any time through your account or by contacting support. Cancellation takes effect at the end of your current billing period.

10.2 Termination by Us

We may terminate your account for violation of these Terms, non-payment, or other legitimate business reasons. We will provide reasonable notice when possible.

 

11. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

 

12. Indemnification

You agree to indemnify and hold harmless SALEscalate.ai from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

 

13. Governing Law and Dispute Resolution

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by Hong Kong law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them.

 

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
